1. Agreement to these terms

By accessing this website or by engaging the desk, you agree to these Terms of Service. If you are acting for an organisation, you confirm that you have authority to accept these terms on that organisation behalf and that the organisation will be responsible for compliance with them.

If you do not agree with any part of these terms, you should not use this website or ask the desk to begin work. A mandate only starts when a written mandate card or statement of work has been accepted by both sides, and that document is governed by these terms unless it states otherwise.

2. Definitions used at the desk

The following words have a specific meaning in these terms and in any mandate card issued by NERVZ PTE. LTD.

3. Scope of the services

The Company provides computer integrated systems design and related professional, scientific and technical services. The work is delivered through the Desk, which takes the seat, reads the board and fires the signal in the manner described on this website. The Services are advisory, design and coordination services unless a Mandate expressly states that the Company will also install, operate or maintain a particular component.

The Company is not a recruitment agency, a talent agency or a call centre. Nothing in these terms should be read as an obligation to supply personnel to the Client organisation, to accept inbound calls on the Client behalf at scale or to act as an employment intermediary. Where a Mandate requires a specialist subcontractor, the Company will say so in the Mandate and remain accountable for the coordination it has agreed to provide.

Any description of the Services on this website is for general information. It does not create a binding obligation until it is written into a Mandate.

4. Mandate cards and written orders

Every piece of work begins with a Mandate card. The card records the Client owner, the Desk owner, the current architecture inside scope, the interfaces that will not be touched, the first delivery date, the fee basis and the review rhythm. The card is deliberately short so that both sides can read it in one sitting and spot an error before any design time is spent.

A Mandate becomes binding when both sides confirm it in writing, whether by signature, by an exchange of emails that clearly accept the card or by another written method agreed by the parties. A verbal instruction does not create a new Mandate. If the Client needs an urgent change, the Desk may agree to record it as a variation under section 9, but the original card continues to govern until the variation is accepted.

Where the Client issues its own purchase order or statement of work, the parties will reconcile the two documents in writing. In the event of conflict, the signed Mandate prevails on scope and delivery, while these terms prevail on liability, confidentiality and governing law unless the Mandate expressly states a different intention.

5. The six desk services

The Services comprise the following six elements, which may be combined or selected in a Mandate according to the needs of the Client.

Mandate Intake Desk

The Desk turns a request into a written scope with a named owner, a boundary and a delivery date. Intake includes a review of the existing Systems as they are described by the Client, but it does not replace a full technical audit unless the Mandate says so.

Signal Relay Rounds

The Desk carries status between the parties on a scheduled cadence and issues a relay note after each round. The Client agrees to nominate a contact who can answer questions about the Systems and to respond within a reasonable time, because a relay round depends on a live exchange.

Retainer Reviews

The Desk reviews the retainer book at a fixed rhythm and produces a written record of what was used, what remains open and what is proposed for the next block. A review is a planning and accounting exercise; it does not by itself add scope.

Client Liaison Hours

The Desk holds posted windows during which the Client may speak directly with a person who knows the Mandate. The windows are described in section 8. Requests made outside the windows are logged and answered at the next opening, except where an escalation route applies.

Escalation Drills

The Desk rehearses the call tree, rollback path and communication script with the Client. A drill requires cooperation from the Client operators and may require access to a test environment. The Desk records findings and proposes corrections, but it does not guarantee that a real incident will follow the rehearsed path.

Field Report Evenings

The Desk meets the teams who operate the Systems and collects observations for the next review. The Client agrees to arrange reasonable access to those teams and to treat the session as a working meeting rather than a performance review.

6. Client responsibilities

The Desk depends on accurate information and timely access. The Client agrees to provide, at no cost to the Company, the following support while a Mandate is active.

Where the Client does not provide a required item, the Desk may pause work and move delivery dates accordingly. Pausing work does not reduce fees that are already due, because the Desk has reserved time for the Mandate.

7. Fees, invoicing and payment

Fees are set out in the Mandate. The Desk uses a combination of fixed fee, time and materials and monthly retainer, depending on the shape of the work. Where a fee is described as an estimate, the Desk will notify the Client before exceeding it by more than ten percent and will agree a revised figure in writing.

Invoices are issued according to the schedule in the Mandate and are payable within thirty days of the invoice date unless the Mandate states otherwise. All amounts are exclusive of any applicable tax, which the Client will pay in addition where the law requires it. Payment is made by bank transfer to the account shown on the invoice.

Late payment may attract interest at the rate stated in the Mandate or, if none is stated, at one percent per month on the outstanding amount. Where an invoice remains unpaid for more than sixty days, the Desk may suspend work under section 18. The Client is responsible for any reasonable cost of recovering an unpaid invoice, including bank charges and legal fees.

Travel, accommodation and third party licence costs are not included unless the Mandate says so. Where they are necessary, the Desk will seek prior approval and pass them through at cost with supporting documents.

8. Schedules and liaison hours

The Desk holds liaison hours from Monday to Thursday between 9:00 and 18:00, on Friday between 9:00 and 17:00 and on Saturday between 10:00 and 13:00, Singapore time. The Desk is closed on Sunday and on public holidays in Singapore. These hours may be adjusted for seasonal periods, and any adjustment is announced to active clients in advance.

Relay rounds and retainer reviews are scheduled in the Mandate and confirmed by calendar invitation. The Client agrees to give at least two working days notice when moving a scheduled review, so that the Desk can rebook the slot and prepare a fresh record. Missed sessions may be recharged where the Mandate allows it.

9. Changes and additional work

Changes to scope are handled through a written variation. The Desk describes the change, the effect on delivery dates and the effect on fees, and the Client confirms the variation in writing before work proceeds. The Desk will not silently absorb a change into the existing fee, because that practice erodes the honesty of the Mandate.

If a change is urgent and a written variation cannot be prepared before work must begin, the parties may agree a short interim authorisation by email, with the formal variation to follow within five working days. An interim authorisation covers only the specific work described in it and does not change the rest of the Mandate.

Where a change is caused by an error of the Company, the correction is carried out at no additional fee. Where it is caused by a change in the Client Systems, a decision of the Client or a third party action, it is treated as a variation.

10. Intellectual property

The Company retains ownership of its pre-existing methodologies, templates, checklists and internal tools, including the desk framework described on this website. When a Mandate is paid in full, the Client receives a licence to use the Outputs for its own internal business purposes, together with any rights that the Mandate expressly assigns.

Unless the Mandate states otherwise, ownership of bespoke deliverables created solely for the Client transfers to the Client on payment in full. The Company may retain a copy of the Outputs for its records and may reuse general knowledge, techniques and non-confidential know how in future work. The Company will not reuse Client confidential information in a way that identifies the Client.

All content on this website, including text, layout and styling, is owned by the Company and may not be copied for commercial use without written permission.

11. Confidentiality

Each party will keep confidential the information that the other party marks as confidential or that a reasonable person would understand to be confidential in the circumstances. This includes system diagrams, credentials, commercial terms and the contents of mandate records.

Confidential information may be used only for the purpose of the Mandate and may be shared only with individuals who need it and who are bound by confidentiality obligations. The receiving party will protect the information with reasonable care and will notify the disclosing party promptly if it becomes aware of a loss or unauthorised access.

These obligations do not apply to information that is already public, that was independently developed without reference to the confidential information, or that must be disclosed under a legal requirement, provided the receiving party gives the disclosing party reasonable notice where it is lawful to do so. The obligations survive the end of the Mandate for a period of three years, and longer where the information is a trade secret.

12. Data protection

Where the Desk processes personal information on behalf of the Client, the parties will enter a written processing arrangement that reflects the requirements of applicable data protection law. The arrangement will describe the subject matter, the duration, the nature of processing and the obligations of each party.

The Company will keep appropriate technical and organisational measures in place, will assist the Client with requests from individuals where the law requires it and will notify the Client without undue delay after becoming aware of a personal data breach affecting Client information. The Company will not transfer Client personal information to a third country without the safeguards described in the arrangement.

The Company own handling of information collected through this website and through direct contact with the Desk is described in the Privacy Policy at /privacy.

13. Third party systems and software

Integrated systems usually depend on third party hardware and software. The Company does not control those products and does not warrant them beyond what the relevant supplier provides. Where a Mandate relies on a third party product, the Client is responsible for obtaining and maintaining the necessary licences unless the Mandate says otherwise.

The Company is not responsible for a failure caused by a change in a third party product, a withdrawal of support, a licensing restriction or a service outage outside the Company reasonable control. Where such an event affects a Mandate, the Desk will work with the Client to find a route forward and will confirm any additional effort as a variation.

14. System security and access

The Client is responsible for maintaining the security of its own Systems, including user accounts, network controls and backups, unless a Mandate expressly transfers part of that responsibility to the Company. The Client will give the Desk access only to the extent needed and will revoke that access when a Mandate ends.

The Desk will use credentials only for the purpose of the Mandate, will keep them in a secured store and will not share them with anyone outside the team working on the Mandate. The Desk will report any suspected security incident connected to the Mandate to the Client contact without undue delay.

Nothing in these terms authorises either party to attempt unauthorised access to the other party systems. Any security testing requires a separate written agreement that sets out the scope, timing and rules of engagement.

15. Warranties and service standards

The Company will perform the Services with reasonable skill and care, in a professional manner consistent with good practice in the computer systems design field. The Company warrants that it has the right to enter these terms and that its personnel hold the skills described in the Mandate.

Except as stated in this section, the Company gives no other warranty, whether express or implied, including any warranty of merchantability, fitness for a particular purpose or non-infringement, to the extent that the law permits that exclusion. The Desk does not warrant that a System will be free of every defect or that a hostile security event will never occur, because no integrated system can promise that.

Where the Client believes that the Outputs do not conform to the Mandate, the Client must notify the Desk within thirty days of delivery. The Company will investigate and, where the concern is justified, correct the Output at no additional fee. This remedy is the Client sole remedy for a failure to conform under this section.

16. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.

Subject to the previous paragraph, the total liability of the Company arising out of or in connection with a Mandate, whether in contract, tort, negligence, breach of statutory duty or otherwise, is limited to the total fees paid by the Client to the Company under that Mandate in the twelve months preceding the event that gave rise to the liability.

Subject to the same paragraph, neither party is liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill or any indirect or consequential loss, even if the party was advised of the possibility of that loss. These limits reflect the proportion of risk accepted by the Desk and the fees paid for the Services.

17. Indemnity

The Client will indemnify the Company against any claim, loss or cost arising from Client materials that infringe the rights of a third party, from unlawful content supplied to the Desk, or from a breach of section 14 concerning unauthorised access. The Company will inform the Client promptly of any such claim and will allow the Client to participate in the defence.

The Company will indemnify the Client against a claim that bespoke Outputs created solely for the Client infringe a third party intellectual property right, provided the Client has used the Outputs within the terms of the Mandate and has notified the Desk promptly. This indemnity does not apply where the claim arises from Client materials, a third party product or a modification made without the Company approval.

18. Suspension and termination

Either party may terminate a Mandate for convenience by giving thirty days written notice, unless the Mandate states a different period. The Client will pay for work performed and for commitments properly incurred up to the termination date.

A party may suspend or terminate immediately if the other party commits a material breach and does not remedy it within fourteen days of written notice, or if the other party becomes insolvent or ceases to trade. The Desk may suspend work while an invoice remains unpaid for more than sixty days, and will lift the suspension once payment is received.

On termination, the Desk will deliver the records described in the Mandate that have been paid for, return or destroy Client confidential information on request and confirm in writing when that step is complete. Rights and obligations that by their nature should survive, including confidentiality, intellectual property and liability limits, continue after termination.

19. Force majeure

Neither party is liable for a delay or failure caused by an event outside its reasonable control, including a natural disaster, a civil disturbance, an industrial action involving a third party, a widespread network or utility failure, an epidemic or a change in law that makes performance impossible.

The affected party will notify the other party promptly, will take reasonable steps to reduce the impact and will resume performance as soon as it can. If the event continues for more than thirty days, either party may terminate the affected Mandate by written notice without further liability, except for fees already due for work performed.

20. Acceptable use of this website

You may read, print and share the public pages of this website for lawful personal or professional use. You may not scrape the website at a scale that burdens the hosting service, attempt to access administrative areas, introduce malicious code or use the contact form to send unsolicited commercial messages.

The content of the website is provided for general information. It is not a substitute for a written Mandate, and no reliance should be placed on a marketing sentence where a Mandate could state the position precisely. The Company may change or withdraw any part of the website at any time without notice.

Where the website contains a link to a third party resource, that link is provided for convenience. The Company does not endorse the resource and is not responsible for its content or practices.

21. Governing law and disputes

These terms and any Mandate are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore, except where a Mandate provides for arbitration.

Before starting formal proceedings, the parties will attempt in good faith to resolve a dispute through a written exchange between senior representatives, followed by a meeting within twenty one days of the written notice. Where the dispute concerns a technical matter, the parties may appoint an independent expert to review the record and recommend a route forward.

Nothing in this section prevents a party from seeking urgent relief from a court where that is necessary to protect confidential information or to avoid irreparable harm.

22. General provisions

These terms and the applicable Mandate constitute the entire agreement between the parties on their subject matter and replace any earlier discussion or proposal.

If a provision is found to be unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.

The Client may not assign a Mandate without the written consent of the Company. The Company may assign a Mandate to an affiliate or to a successor in a corporate transaction, provided the successor assumes the obligations in writing. Notices under these terms must be sent in writing to agent@nervz.hair or to the email address named in the Mandate.

No person who is not a party to a Mandate has any right to enforce its terms. These terms may be updated from time to time, and the version in force is the one published on this website at the date a Mandate is confirmed.
